These Terms of Use (“Terms”) govern your access to and use of the TaskLogix360 website, including www.tasklogix360.com and any related webpages, content, features, forms, demonstrations, communications, and other services made available through the website (collectively, the “Website”).
The Website is owned and operated by TaskLogix360 LLC, a Utah limited liability company (“TaskLogix360,” “Company,” “we,” “us,” or “our”).
By accessing or using the Website, you acknowledge that you have read, understood, and agree to these Terms. If you do not agree to these Terms, you should not access or use the Website.
These Terms apply to the Website. Use of the TaskLogix360 software platform, applications, APIs, hosted services, or other subscription services may also be governed by a separate SaaS End User Agreement, Master Services Agreement, Order Form, Statement of Work, Data Processing Agreement, or other written agreement between TaskLogix360 and a customer (“Customer Agreement”). If a Customer Agreement conflicts with these Terms regarding use of the TaskLogix360 platform or paid services, the Customer Agreement will control.
1. About TaskLogix360
TaskLogix360 provides cloud-based infrastructure operations software designed to help contractors, subcontractors, engineering organizations, project managers, quality-control teams, and other infrastructure participants manage task-based field work, project execution, inspections and quality control, documentation, reporting, billing preparation, and related operational activities.
Information presented on the Website is provided for general informational, marketing, demonstration, and business-evaluation purposes. Features, functionality, integrations, pricing, specifications, and availability may change from time to time.
2. Eligibility and Business Use
The Website is intended primarily for businesses and individuals acting in a professional or commercial capacity.
By using the Website on behalf of a company or other organization, you represent that you have authority to act on behalf of that organization with respect to your use of the Website.
You must be at least 18 years old, or the age of legal majority in your jurisdiction if higher, to enter into a binding agreement with TaskLogix360.
The Website is not directed toward children.
3. Permitted Use
Subject to these Terms, TaskLogix360 grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Website for legitimate informational and business purposes.
You may use the Website to:
- learn about TaskLogix360 products and services;
- request demonstrations, pricing, or other information;
- communicate with TaskLogix360;
- evaluate whether TaskLogix360 may be appropriate for your organization; and
- access materials that TaskLogix360 expressly makes available for such purposes.
No ownership interest or other intellectual property right is transferred to you through your use of the Website.
4. Prohibited Uses
You may not use the Website:
- for any unlawful, fraudulent, deceptive, or malicious purpose;
- to violate applicable laws, regulations, contractual obligations, or third-party rights;
- to interfere with, disrupt, damage, disable, overburden, or compromise the Website or its underlying infrastructure;
- to attempt to gain unauthorized access to any system, account, network, database, application, or data;
- to introduce malware, malicious code, viruses, automated attacks, or other harmful technology;
- to scrape, crawl, harvest, extract, copy, or systematically collect Website content or data except as permitted by applicable law or expressly authorized by TaskLogix360;
- to reverse engineer, decompile, disassemble, or attempt to derive source code, underlying technology, algorithms, or proprietary processes from the Website or TaskLogix360 services except to the limited extent such restrictions are prohibited by applicable law;
- to impersonate another person or organization or misrepresent your identity or affiliation;
- to infringe intellectual property, privacy, confidentiality, publicity, or other rights;
- to circumvent security measures or access restrictions; or
- to use Website content to develop, train, benchmark, or improve a competing commercial product, artificial intelligence system, machine-learning model, or database without TaskLogix360’s prior written permission, except where such restriction is prohibited by applicable law.
5. Requests for Demonstrations and Information
When you submit information through a contact form, request a demonstration, request pricing, or otherwise communicate with TaskLogix360, you agree to provide information that is accurate and reasonably complete.
Submitting a request does not create a customer relationship, license, partnership, agency relationship, fiduciary relationship, or obligation for TaskLogix360 to provide products or services.
Any purchase or subscription is subject to applicable Customer Agreements and commercial terms agreed between TaskLogix360 and the customer.
6. Privacy and Personal Information
TaskLogix360 processes personal information in accordance with its Privacy Policy, as amended from time to time, and applicable privacy and data-protection laws.
Depending on where you are located, these laws may include U.S. federal and state privacy laws, the California Consumer Privacy Act as amended by the California Privacy Rights Act (“CCPA/CPRA”), Canadian federal and provincial privacy legislation, the European Union General Data Protection Regulation (“GDPR”), applicable EEA privacy laws, Japan’s Act on the Protection of Personal Information (“APPI”), South Korea’s Personal Information Protection Act (“PIPA”), and other applicable privacy and data-protection laws.
The Privacy Policy describes, as applicable, the categories of personal information TaskLogix360 collects, the purposes for which information is processed, disclosures of information, retention practices, international transfers, cookies and similar technologies, and rights available to individuals.
Where TaskLogix360 processes personal information contained in the TaskLogix360 platform on behalf of a business customer, the respective responsibilities of TaskLogix360 and that customer may additionally be governed by the applicable Customer Agreement and Data Processing Agreement.
Customers and their authorized administrators are responsible for determining what information their users enter, upload, collect, or maintain through the TaskLogix360 platform and for ensuring that their collection and use of such information complies with laws applicable to their organization and operations.
7. Cookies and Similar Technologies
The Website may use cookies, pixels, analytics tools, and similar technologies for essential Website operations, security, preferences, analytics, performance, and other purposes described in our Privacy Policy or Cookie Notice.
Where required by applicable law, non-essential cookies or similar technologies will be used subject to applicable consent requirements.
Users may be provided mechanisms to manage applicable cookie or privacy preferences.
Browser-based privacy preference signals will be recognized where required by applicable law.
8. Communications
If you provide contact information to TaskLogix360, we may communicate with you regarding your request, our products or services, account or security matters, and other business matters permitted by law.
Marketing communications will be provided in accordance with applicable law, including applicable U.S., Canadian, European, Japanese, and South Korean requirements.
Where consent is legally required for electronic marketing, TaskLogix360 will seek the required consent. You may unsubscribe from marketing emails using the unsubscribe mechanism contained in the communication or by contacting TaskLogix360.
Transactional, administrative, security, and service-related communications may not be subject to marketing opt-out requirements.
9. Intellectual Property
The Website and its contents—including software, designs, interfaces, text, graphics, logos, trademarks, service marks, photographs, videos, documentation, workflows, product names, features, and other materials—are owned by TaskLogix360 or its licensors and are protected by applicable intellectual property laws.
“TaskLogix360,” associated logos, product names, and related branding are trademarks or proprietary marks of TaskLogix360 LLC. Nothing in these Terms grants you a license to use TaskLogix360 trademarks, logos, or branding without prior written authorization.
You may not reproduce, modify, distribute, publicly display, commercially exploit, or create derivative works from Website content except as expressly authorized by TaskLogix360 or permitted by applicable law.
10. Feedback
If you voluntarily provide suggestions, ideas, recommendations, enhancement requests, or other feedback regarding TaskLogix360 products or services (“Feedback”), you grant TaskLogix360 a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free right to use and incorporate that Feedback into its products, services, and business without restriction or compensation to you.
This provision does not transfer ownership of your confidential information or customer data to TaskLogix360.
11. Third-Party Services and Links
The Website or TaskLogix360 services may contain links to or integrate with third-party websites, applications, platforms, products, or services.
Third-party services are governed by their respective providers’ terms and privacy practices. TaskLogix360 does not control and is not responsible for third-party websites or services and does not necessarily endorse them merely by providing a link or integration.
You are responsible for reviewing applicable third-party terms before using such services.
12. Website Security
You may not attempt to test, scan, probe, circumvent, or compromise the security or integrity of the Website or any associated TaskLogix360 systems without prior written authorization.
TaskLogix360 may monitor the Website and associated systems for security, fraud prevention, availability, performance, and compliance with these Terms, subject to applicable law.
Suspected security vulnerabilities should be reported responsibly to TaskLogix360 rather than publicly disclosed or exploited.
13. Availability and Changes
TaskLogix360 endeavors to maintain reliable Website availability but does not guarantee uninterrupted or error-free access.
We may modify, suspend, restrict, replace, or discontinue any portion of the Website at any time, subject to applicable law and any contractual obligations contained in a Customer Agreement.
Website descriptions of product features, capabilities, or future functionality do not constitute a guarantee that any particular feature will remain available indefinitely.
Service-level commitments applicable to paying customers, if any, are governed by the applicable Customer Agreement or Service Level Agreement and not these Website Terms.
14. No Professional Advice
Information provided through the Website is for general informational purposes and does not constitute legal, accounting, engineering, construction, safety, tax, regulatory, or other professional advice.
TaskLogix360 provides technology for managing operational information and workflows. Customers and users remain responsible for professional judgment, regulatory compliance, construction methods, workplace safety, inspections, approvals, quality determinations, and business decisions applicable to their operations.
15. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TASKLOGIX360 DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.
TaskLogix360 does not warrant that the Website will always be available, secure, error-free, accurate, complete, or free from harmful components.
Nothing in these Terms excludes or limits any warranty, guarantee, consumer protection, or other right that cannot lawfully be excluded or limited in your jurisdiction.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TASKLOGIX360 LLC AND ITS AFFILIATES, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, OR DATA, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE WEBSITE.
To the maximum extent permitted by applicable law, TaskLogix360’s aggregate liability arising from use of the Website will not exceed the greater of (a) amounts, if any, paid by you specifically for access to the Website during the twelve months preceding the event giving rise to the claim or (b) US $100.
This Section does not exclude or limit liability that cannot legally be excluded or limited, including liability where exclusion or limitation is prohibited by applicable consumer-protection or other mandatory law.
Liability relating to paid TaskLogix360 services may instead be governed by the applicable Customer Agreement.
17. Indemnification
To the extent permitted by applicable law, if you use the Website in connection with a business or commercial activity, you agree to indemnify, defend, and hold harmless TaskLogix360 LLC and its affiliates, members, managers, officers, employees, contractors, and agents from third-party claims, damages, liabilities, costs, and reasonable attorneys’ fees resulting from:
- your unlawful or unauthorized use of the Website;
- your material violation of these Terms; or
- your infringement or violation of a third party’s rights.
This provision does not apply to the extent prohibited by applicable law.
18. International Use and Export Compliance
TaskLogix360 is based in the United States and may make its Website and services available internationally.
You are responsible for complying with laws applicable to your use of the Website in your jurisdiction.
You may not access or use TaskLogix360 products or services in violation of applicable U.S. or other export-control, sanctions, trade-control, or anti-boycott laws.
You represent that you are not prohibited by applicable law from receiving the Website or TaskLogix360 services.
19. United States Users
Users located in the United States retain any rights provided by applicable federal or state law that cannot legally be waived by these Terms.
Where applicable privacy laws provide specific rights concerning personal information, those rights and methods for exercising them are described in the TaskLogix360 Privacy Policy.
Nothing in these Terms is intended to waive rights that applicable law prohibits the parties from waiving.
20. Canadian Users
If you access the Website from Canada, these Terms apply subject to applicable federal and provincial laws.
Nothing in these Terms limits privacy, consumer-protection, language, or other statutory rights that cannot legally be waived.
For users in Québec, any mandatory requirements of Québec law will apply notwithstanding inconsistent provisions of these Terms.
Where applicable law requires that contractual documents or disclosures be provided in French or another language, TaskLogix360 will comply with such requirements as applicable to the particular transaction.
21. European Union and European Economic Area Users
If you access the Website from the European Union or European Economic Area, nothing in these Terms limits rights provided by applicable mandatory EU or Member State law.
Personal data will be processed as described in the TaskLogix360 Privacy Policy and, where applicable, pursuant to the GDPR and an applicable Data Processing Agreement.
Where required, international transfers of personal data will be subject to an appropriate lawful transfer mechanism.
If you are legally considered a consumer rather than a business user, mandatory consumer rights under the law of your country of residence remain unaffected by these Terms, and any governing-law or dispute-resolution provision below applies only to the extent permitted by applicable law.
22. Japan Users
If you access the Website from Japan, these Terms apply subject to applicable mandatory Japanese law, including applicable privacy and consumer-protection requirements.
Nothing in these Terms is intended to exclude, restrict, or waive rights that cannot lawfully be excluded under Japanese law.
To the extent TaskLogix360 processes personal information subject to Japan’s Act on the Protection of Personal Information, such processing will be governed by the TaskLogix360 Privacy Policy and applicable law.
23. South Korea Users
If you access the Website from the Republic of Korea (South Korea), these Terms apply subject to applicable mandatory Korean law, including applicable privacy, electronic communications, and consumer-protection requirements.
Nothing in these Terms excludes or limits statutory rights that cannot lawfully be excluded.
Personal information subject to the Personal Information Protection Act and other applicable Korean privacy requirements will be handled as described in the TaskLogix360 Privacy Policy and applicable law.
24. Mandatory Local Law
TaskLogix360 intends these Terms to operate to the fullest extent permitted by applicable law.
If any provision of these Terms conflicts with a mandatory law applicable to you that cannot legally be varied by contract, that mandatory law will control solely to the extent of the conflict.
Nothing in these Terms is intended to deprive an individual of mandatory consumer, privacy, data-protection, accessibility, or other statutory rights available under applicable law.
25. Governing Law
Except where mandatory local law provides otherwise, these Terms and any dispute arising from or relating to the Website will be governed by the laws of the State of Utah, United States, without regard to conflict-of-laws principles.
The United Nations Convention on Contracts for the International Sale of Goods does not apply.
26. Dispute Resolution
Before commencing formal proceedings, you and TaskLogix360 agree to make reasonable good-faith efforts to resolve disputes informally.
For business users, and except where prohibited by applicable law, any dispute arising from or relating to these Terms or use of the Website that cannot be resolved informally will be resolved through binding arbitration in Salt Lake County, Utah, administered under the applicable Commercial Arbitration Rules of the American Arbitration Association.
Either party may seek temporary or preliminary injunctive relief from a court of competent jurisdiction when necessary to protect intellectual property, confidential information, systems, data, or security pending resolution of a dispute.
If applicable mandatory law gives an individual consumer the right to bring a claim before courts or regulatory bodies in the consumer’s jurisdiction, this Section does not eliminate that right.
27. Changes to These Terms
TaskLogix360 may update these Terms periodically to reflect changes in the Website, our services, business practices, technology, or applicable law.
When changes are made, the “Last Updated” date at the beginning of these Terms will be revised.
If required by applicable law, we will provide additional notice or obtain consent before materially revised Terms become effective.
Your continued use of the Website after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.
28. Severability
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or, where necessary, severed without affecting the remaining provisions.
29. No Waiver
Failure by TaskLogix360 to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.
30. Entire Agreement
These Terms, together with the TaskLogix360 Privacy Policy and any other policies expressly incorporated by reference, constitute the agreement governing use of the Website.
For customers and authorized platform users, applicable Customer Agreements, SaaS End User Agreements, Order Forms, Statements of Work, Service Level Agreements, Data Processing Agreements, and other executed agreements may establish additional or superseding terms relating to the TaskLogix360 platform and services.
